Terms and Conditions

The core activity of Central England Business Angels is to generate funding for Small to Medium Enterprise companies (SME's) seeking equity, debt or grant funding. Central England Business Angels will engage with the Entrepreneur and/or the SME.

General Conditions:

  1. Central England Business Angels is not FSA registered and will not take on any role or responsibility of an FSA registered company.
  2. Central England Business Angels will not warrant the accuracy of the information supplied by the SME. However, by signing a contract with Central England Business Angels the SME will agree that:

    • the content of the Business Plan supplied is accurate and not misleading;
    • there is no infringement of copyright or intellectual property of any other company or entity.  
    • to disclose any person associated with the business who could not assume a position of Director, has a prison record, is registered bankrupt, or has or is expecting County Court Judgments.
    • following successful investment, Central England Business Angels believe that generating good investor relations is crucial to future growth of the SME. The SME is expected to adopt an Investor Relations Service along the lines of that attached. Central England Business Angels will help the SME to devise an appropriate Service.
  3. Central England Business Angels will not:
     
    • be responsible for Due Diligence on the investee company
    • offer advice on any investment proposal
    • guarantee funding will be achieved

Central England Business Angels reserves the right to terminate a business relationship at any time:

Complaints

If the SME has a complaint on the service provided by Central England Business Angels, they should immediately put it in writing to D W L Clark at Central England Business Angels, The Stone House, 123 High Street, Henley-in-Arden, West Midlands B95 5AU, who will respond to the complaint within 3 working days of its receipt. If the SME is dissatisfied with this response, they may write to the British Business Angels Association at New City Court, 20 St Thomas Street, London SE1 9RS. Central England Business Angels complies with the BBAA Code of Conduct.

At all times during this service, the SME agrees to cooperate with Central England Business Angels, responding to requests and supplying information in a timely manner.
